• Tablo: The restaurant management software developed and operated by Sodio (BlockAI Software Solutions).
• User: The individual or entity using the Tablo software, including restaurant owners, staff, and administrators.
• Service: The features and functionalities provided by Tablo, including order management, inventory tracking, analytics, and payment processing.
• Agreement: These Terms and Conditions, along with our Privacy Policy.

2. Acceptance of Terms

By creating an account, accessing, or using Tablo, you acknowledge that you:

• Are at least 18 years old or the legal age in your jurisdiction.
• Have read, understood, and agree to be bound by these Terms and Conditions.

3. License to Use

We grant you a non-exclusive, non-transferable, and limited license to access and use Tablo for your restaurant management needs. This license is subject to the following conditions:

• You may not sublicense, resell, or distribute the software.
• You may not reverse-engineer, decompile, or attempt to extract the source code.

4. User Responsibilities

As a user of Tablo, you agree to:

• Provide accurate and up-to-date information during registration.
• Maintain the confidentiality of your account credentials and notify us immediately of unauthorized access.
• Use the software solely for lawful purposes.
• Comply with all applicable local, state, and federal laws.

You are solely responsible for all activities conducted under your account.

5. Prohibited Activities

You may not:

• Use Tablo in any manner that could harm, disable, or impair the software or its infrastructure.
• Use the software for fraudulent purposes or to infringe upon third-party rights.
• Upload malicious content, such as viruses or harmful code.
• Attempt to gain unauthorized access to Tablo or related systems.

6. Payment Terms

• Certain features of Tablo may require a subscription or one-time payment. Payment terms will be outlined during the purchasing process.
• All fees are non-refundable, except as required by law or as explicitly stated.
• Late payments may result in suspension or termination of your account.

7. Data Ownership

• You retain ownership of the data you input into Tablo, including restaurant details, menus, and transaction records.
• By using Tablo, you grant us a license to use your data for service delivery, troubleshooting, analytics, and improvements.

8. Intellectual Property

• All rights, title, and interest in Tablo, including its software, design, and features, are owned by Sodio (BlockAI Software Solutions).
• You may not use Tablo's branding, logos, or intellectual property without prior written consent.

9. Service Modifications

We reserve the right to:

• Modify, update, or discontinue any aspect of Tablo at any time.
• Suspend or terminate your access to the software for violations of these Terms and Conditions.

10. Termination

This Agreement may be terminated:

• By you, by ceasing to use the software and contacting us to close your account.
• By us, for any breach of these terms, including non-payment or prohibited activities.

Upon termination, you must immediately stop using the software, and any outstanding fees will remain payable.

11. Limitation of Liability

To the maximum extent permitted by law:

• Tablo is provided "as is" without any warranties, express or implied.
• Sodio (BlockAI Software Solutions) is not liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.
• Our liability is limited to the amount you paid for using Tablo in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Sodio (BlockAI Software Solutions), its affiliates, and employees from any claims, liabilities, damages, or expenses arising from:

• Your use of Tablo.
• Your violation of these Terms and Conditions.
• Your infringement of third-party rights.

13. Third-Party Services

Tablo may integrate with third-party services, such as payment gateways. These services are governed by their own terms and conditions. We are not responsible for the performance or policies of third-party services.

14. Dispute Resolution

• Any disputes arising out of these Terms will be governed by the laws of Jaipur, Rajasthan, India.
• Disputes will be resolved through arbitration or mediation, as mutually agreed. Litigation will only occur if arbitration fails.

15. Changes to Terms

We may update these Terms and Conditions periodically. The latest version will always be available on our website or within the software. Continued use of Tablo constitutes acceptance of any updates.
